1. Acceptance of Terms

Welcome to Moninsight! These Terms of Service ("Terms") govern your access to and use of Moninsight's AI-powered accounting platform, including our website, mobile application, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use Moninsight. You must be at least 18 years of age to use the Service.

2. Description of the Service

Moninsight is an AI-powered accounting platform tailored for self-employed individuals, such as solopreneurs, freelancers, and single-member LLC owners. Our Service helps you manage your business finances through intelligent automation and insights. Key features of Moninsight include:

Automated Bookkeeping: Moninsight uses AI to automatically categorize your expenses and transactions, keeping your books organized without manual effort. This includes linking to your financial accounts (via Plaid) to fetch transaction data in real-time.
AI Financial Assistant: You have access to an AI-driven accounting assistant that can answer questions about your finances, provide personalized insights, and generate summaries or recommendations based on your spending and income patterns.
Tax Planning and Preparation: The platform includes a built-in tax calculator, quarterly estimated payment tracker, deduction identification, and AI-led year-end planning insights to help you stay tax-ready year-round. Moninsight does not file taxes on your behalf — any actual tax filing must be completed separately by you or a licensed tax professional.
Invoicing and Quotes: You can create and send professional invoices and quotes, set up payment reminders, and convert accepted quotes directly into invoices to streamline your billing workflow.
Financial Reports: Moninsight generates P&L statements, balance sheets, and cash flow reports with support for custom date ranges and export in CSV, PDF, or Excel format.
Receipt Scanning: You can upload receipts or financial documents, and our AI will extract and categorize the information automatically to include in your bookkeeping records.
Weekly Review Workflow: A guided weekly financial review helps you stay on top of uncategorized transactions, outstanding invoices, and upcoming tax obligations.
Integrations: Connect Gmail and Google Drive to automatically pull in receipts and documents, and link other tools to keep your financial data in sync.

No Unoffered Services: Moninsight focuses on business finance management — it does not include personal credit score monitoring, investment brokerage, portfolio tracking, or tax filing services. We are not a banking platform, financial advisor, broker-dealer, or money transmitter, and we do not move or hold your funds on your behalf (see Section 7 for additional disclaimers). The Service is provided as a software-as-a-service (SaaS) via our web and mobile applications.

3. Account Registration and Security

To use Moninsight, you need to create an account with a valid email and password (or other supported login method). You agree to provide accurate, current, and complete information during signup and to keep your account information up-to-date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Do not share your account or give others access to the Service through your credentials.

If you believe your account has been compromised or there is unauthorized use, you must notify us immediately so we can take action. Moninsight is not liable for any loss or damage arising from your failure to safeguard your account information.

4. User Responsibilities and Acceptable Use

When using Moninsight, you agree to do so lawfully and ethically. You must not:

Use the Service for any fraudulent or illegal activities, or in violation of any laws or regulations.
Attempt to hack, reverse engineer, disrupt, or compromise the integrity or security of the Service. This includes not introducing malware or attempting to bypass any security measures.
Misrepresent your identity, impersonate any person or entity, or input information that you do not have the right to share.
Infringe or violate the intellectual property rights or privacy rights of others. For example, you should not upload content you do not have permission to use.

You are responsible for ensuring that your use of Moninsight (including any AI-generated content you rely on) complies with all applicable tax laws, financial reporting requirements, and professional standards relevant to you. Always keep backup copies of your important financial data. Moninsight is not liable for any loss of data — although we strive to protect your information, you should maintain your own records outside the platform as needed.

5. Subscription Plans and Fees

Moninsight may offer its Service on a paid subscription basis or charge fees for certain premium features. By subscribing to a Moninsight plan or using any service that incurs a fee, you agree to the pricing and payment terms presented to you for that service. Key points include:

Billing and Payment: Subscription fees (if applicable) are billed in advance on a recurring cycle (e.g., monthly or annually) and you authorize us (or our third-party payment processor) to automatically charge your chosen payment method for each billing period. If we cannot charge your payment method (due to expiration, insufficient funds, etc.), we may suspend or cancel your access to the Service.
No Refunds: All fees paid are non-refundable to the fullest extent permitted by law, except as expressly stated in our cancellation or refund policy (if one is provided). Partial months are not refunded if you cancel in the middle of a billing cycle.
Cancellation: You may cancel your subscription at any time through the app settings or by contacting support. Upon cancellation, you will continue to have access to your paid plan's features until the end of your pre-paid billing period, after which your account will be deactivated. Cancellation will prevent future billing, but no pro-rated refunds will be given for the remaining period of a subscription you already paid for.
Taxes: All fees are exclusive of any taxes or duties imposed by taxing authorities. You are responsible for any such taxes (e.g., sales tax, VAT) applicable to your use of the Service, other than taxes based on Moninsight's income.
Third-Party Charges: If you use optional integrations or add-ons that carry a separate charge, those fees will be disclosed to you upfront before you incur them. You will have the opportunity to review and agree to any such fees before they apply.

6. Third-Party Services and Integrations

To deliver certain features, Moninsight relies on integrated third-party services. By using these features, you authorize and consent to our sharing of your data with the relevant third-party provider as needed to operate the Service. Key integrations include:

Bank Data Integration (Plaid): Moninsight uses Plaid Inc. ("Plaid") to securely connect with your bank accounts and credit card accounts. When you link a financial account, you are directing Moninsight and Plaid to access and retrieve your account information (such as account balances and transaction history) from your financial institution on your behalf. Your banking login credentials are never received or stored by Moninsight — Plaid handles the authentication and provides us with a secure access token and data. By using this feature, you grant Moninsight (and Plaid acting as our agent) the authority to access and use your financial account information for the purpose of providing our Service. Please note that your use of the Plaid integration is also subject to Plaid's End User Privacy Policy and terms.
Google Workspace Integrations (Gmail & Drive): If you choose to connect your Google account, Moninsight can access Gmail to detect receipts and financial documents, and access Google Drive to retrieve or store relevant files. You authorize Moninsight to read only the data necessary to fulfill these functions. Your Google credentials are managed through Google's OAuth flow and are never stored by Moninsight directly.

Third-Party Responsibility: While we carefully select our integration partners, Moninsight does not control and is not responsible for the services provided by third parties or their handling of your data outside our agreement with them. These third-party services are provided for your convenience, and your use of them is solely between you and the respective provider. Moninsight makes no warranties or guarantees about the availability, accuracy, or reliability of data or services provided by Plaid, Google, or any other third-party partner. We are not liable for any third-party errors or breaches.

7. Disclaimers: AI, No Professional Advice, and No Fiduciary Duty

AI and Accuracy: Moninsight leverages artificial intelligence and machine learning technologies to provide bookkeeping categorizations, financial analyses, and tax recommendations. While we strive for accuracy and utility, AI-generated content may at times be incorrect or incomplete. All outputs from the Service (such as transaction categorizations, budget suggestions, tax estimates, and answers to your questions) should be considered informational. You must use your own judgment before relying on any AI-generated recommendation. We strongly advise you to double-check important financial information and consult with a qualified accountant, tax professional, or financial advisor for any decisions that could have significant consequences. Moninsight is not responsible for decisions or actions you take based solely on AI-generated recommendations or analysis provided by the Service.

No Financial, Tax, or Legal Advice: Moninsight is not a financial planner, tax advisor, legal advisor, or investment broker, and we do not provide personalized professional advice specific to your financial situation. The content and suggestions you receive through the Service (including those from the AI assistant) are for general informational purposes only and are not a substitute for professional advice tailored to your particular circumstances. Using Moninsight does not create a client relationship with a certified public accountant (CPA), tax preparer, financial advisor, or attorney. Moninsight does not guarantee any particular financial outcomes (such as tax savings or profit increases), and we accept no responsibility for any loss or damage resulting from decisions you make based on information obtained from our Service.

Not a Regulated Financial Institution: Moninsight is a technology platform that helps you organize and understand your finances, not a bank or registered financial institution. We are not a bank, credit union, or money services business (MSB), and we do not hold your money in deposit accounts. Moninsight never takes custody of your funds — any movement of money is executed by you through your own financial accounts or through third-party services, not by Moninsight. Likewise, Moninsight is not a broker-dealer and does not provide investment services.

By using Moninsight, you acknowledge and agree that no fiduciary relationship or professional advisory relationship is created between you and Moninsight. You remain solely responsible for complying with all legal obligations (for example, filing accurate tax returns, paying your taxes on time, and maintaining appropriate business records). Always use common sense and professional guidance when interpreting the information provided by our Service.

8. Intellectual Property

Moninsight's Intellectual Property: All content and materials comprising the Service — including the Moninsight name, logos, graphics, software code, algorithms (including AI models), user interface design, and documentation — are the property of Moninsight or our licensors and are protected by intellectual property laws. Moninsight reserves all rights not expressly granted to you. You may not copy, distribute, modify, or create derivative works of any content from our Service unless we give you written permission. This means you shall not reverse engineer our software, scrape or data-mine our databases, or use our trademarks without authorization.

Your Data and Content: You retain ownership of the financial data, documents, and content you provide to Moninsight ("Your Content"). We do not claim ownership over your personal or business information, financial records, receipts, or any other content you upload into the Service. By using Moninsight, you grant us a limited license to use Your Content solely for the purpose of operating and improving the Service — for example, processing transactions, training our AI models on anonymized data, or generating reports for you. We will never sell Your Content to third parties, and we will access it only as needed to provide features you choose to use (in accordance with our Privacy Policy).

You represent and warrant that you have the rights to provide the content and data that you upload to Moninsight and that doing so will not violate any law or infringe any rights of others. If you submit feedback or suggestions about Moninsight, we may use them without obligation to you.

9. Termination of Service

Moninsight hopes you enjoy the Service, but we reserve the right to suspend or terminate your access at any time at our discretion. We may do so with or without prior notice if, for example, we determine that you have violated these Terms, if you pose a risk to the platform or other users, or if we decide to discontinue the Service or any part of it. Moninsight also reserves the right to terminate accounts that are inactive for an extended period, as necessary to manage our resources.

If your account is terminated or suspended, you will lose access to the Service and your account data. Upon termination, Moninsight may immediately deactivate or delete your account and data from our systems, and you will have no further right to use the Service. Where reasonably possible, we may provide advance notice or allow you to retrieve your data before deletion; however, we are not obligated to retain your data after termination unless required by law.

Sections of these Terms that by their nature should survive termination (such as intellectual property rights, disclaimers, and liability provisions) will continue to apply even after your access to the Service ends.

You are free to stop using Moninsight and may delete your account at any time. If you wish to delete your account, you should follow the instructions within the app or contact customer support. Our Privacy Policy describes how we handle information upon account deletion.

10. Disclaimer of Warranties

Moninsight endeavors to provide a reliable and high-quality Service, but there are no guarantees in life or software. Your use of the Service is at your own risk. Moninsight is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. To the maximum extent permitted by law, Moninsight disclaims all warranties and conditions, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet all of your requirements or that operation of the Service will be uninterrupted, error-free, secure, or that any defects will be corrected.

Moninsight does not guarantee the accuracy or completeness of any information provided (whether by us, by the AI, or by any integration). Any financial figures (such as tax estimates or savings projections) are estimates only and not guaranteed. You understand and agree that no advice or information obtained from Moninsight (whether in written or oral form) shall create any warranty not expressly stated in these Terms.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONINSIGHT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES arising out of or related to your use of (or inability to use) the Service. This includes, without limitation, any damages for lost profits or revenues, financial losses, loss of data, loss of business opportunities, or business interruption, even if we have been advised of the possibility of such damages.

Moninsight's total cumulative liability for all claims arising from or related to the Service shall not exceed the amount you paid to Moninsight for the Service in the six (6) months immediately before the event giving rise to liability.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation/exclusion of liability for incidental or consequential damages. To the extent that such laws apply to you, some of the exclusions or limitations above may not apply. In such cases, Moninsight's liability will be limited to the fullest extent permitted by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Moninsight and its affiliates, and each of their respective officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) that arise out of or relate to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

Moninsight reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with us in defending such claim. You agree not to settle any such matter without Moninsight's prior written consent.

13. Changes to These Terms

Moninsight may modify or update these Terms from time to time. If we make material changes, we will post the updated Terms with a new "Last Updated" date and notify you by email or through the Service (for example, via an in-app notification) prior to the changes taking effect. Please review these Terms periodically to stay informed of any updates. Your continued use of the Service after updated Terms have become effective constitutes your acceptance of the changes. If you do not agree with any changes, you must stop using Moninsight and, if applicable, cancel your subscription.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service that cannot be resolved amicably shall be brought exclusively in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction and venue of those courts. Notwithstanding the foregoing, Moninsight may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or stop unauthorized use of the Service or infringement of intellectual property.

If you are using the Service as an individual consumer, you may have rights under mandatory consumer protection laws and nothing in these Terms is intended to limit your legal rights under those laws. However, by agreeing to these Terms, you understand that you are waiving certain rights to participate in class actions or jury trials to the extent permitted by law (if applicable in your jurisdiction).

15. Miscellaneous

Entire Agreement: These Terms (along with our Privacy Policy and any additional terms for specific features) constitute the entire agreement between you and Moninsight regarding the Service, and supersede any prior agreements or understandings (whether written or oral) relating to the same subject matter.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect.

No Waiver: Moninsight's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Moninsight.

Assignment: You may not assign or transfer these Terms or any of your rights or obligations hereunder, in whole or in part, without our prior written consent. Moninsight may freely assign these Terms as part of a merger, acquisition, corporate reorganization, or sale of assets, or by operation of law or otherwise. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

Headings: Section headings in these Terms are for convenience only and have no legal effect.
